Agreement to Our Legal Terms

1. Introduction

Welcome to ScanSewa (“Platform”, “Software”, “we”, “our”, or “us”). The ScanSewa platform, including all associated software, mobile applications, and services, is a proprietary product exclusively owned, operated, and managed by Lacspace Corporation Pvt. Ltd., a company duly registered in Nepal under the Companies Act, 2063.

ScanSewa provides a comprehensive, integrated hospitality and business management solution designed for a wide range of industries including hotels, restaurants, resorts, retail outlets, and other commercial entities. Our services encompass booking management, advanced billing and Point-of-Sale (POS) functionalities, business analytics, and a full suite of digital operational tools.

The mobile booking application SSBITE and the ScanSewa web platform (collectively, the “Services”) are integral parts of the broader Lacspace technology ecosystem. By accessing, downloading, registering for, or using our Services in any manner, you, on behalf of yourself or the entity you represent ("you" or "Client"), agree to comply with and be legally bound by these Terms and Conditions (“Terms”).

If you do not agree to these Terms in their entirety, you are expressly prohibited from using ScanSewa or any related Lacspace services and must cease all use immediately.

2. Ownership & Licensing

All rights, title, ownership, and intellectual property interests in and to ScanSewa, SSBITE, and all associated software systems, source code, designs, branding, and documentation are, and shall remain, the sole and exclusive property of Lacspace Corporation Pvt. Ltd.

Upon successful subscription and adherence to these Terms, Clients are granted a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the ScanSewa software strictly for their internal business operations as intended and permitted by their selected subscription plan.

Any resale, redistribution, modification, decompilation, reverse engineering, or duplication of any part of the software, its content, or its underlying logic without prior express written permission from Lacspace Corporation Pvt. Ltd. is strictly prohibited and constitutes a material breach of this Agreement.

3. Scope of Services

ScanSewa provides a comprehensive and modular hospitality and business management system. Depending on the Client's subscription plan, services may include, but are not limited to:

  • Hotel & Restaurant Management Dashboard: A centralized hub for overseeing all operational aspects.
  • Online Booking System: Facilitated through the SSBITE mobile application and web-based portals.
  • Billing & Point-of-Sale (POS) Integration: A smart, AI-enhanced system for processing transactions, managing orders, and handling complex billing scenarios.
  • Customer & Inventory Management: Tools for managing customer relationships (CRM) and tracking inventory levels in real-time.
  • Advanced Analytics and Business Insights: AI-driven dashboards for analyzing sales, customer behavior, and operational efficiency.
  • Multi-Branch Management: Centralized control and reporting for businesses with multiple locations.
  • Cloud Backup and User Access Control: Secure data storage with granular control over user permissions and roles.

Lacspace Corporation Pvt. Ltd. reserves the right to enhance, modify, limit, or discontinue certain features or the Services altogether, at its sole discretion, at any time to improve user experience, maintain system stability, or comply with legal and regulatory requirements. We will endeavor to provide reasonable notice of any material changes.

4. Account Registration & Access

To access and use the core functionalities of ScanSewa or SSBITE, you must create a registered account. By registering, you agree to:

  • Provide information that is accurate, current, and complete during the registration process.
  • Maintain and promptly update your account information to keep it accurate, current, and complete.
  • Maintain the strict confidentiality of your account credentials (including passwords and API keys) and refrain from sharing them with any unauthorized third party.
  • Accept full responsibility for all activities that occur under your account, whether or not you have authorized them.
  • Notify us immediately of any suspected or actual unauthorized use of your account.

Lacspace Corporation Pvt. Ltd. reserves the right to suspend, terminate, or reclaim accounts that are inactive for an extended period, violate these terms, are used for fraudulent purposes, or otherwise misuse the system, at our sole discretion and without liability.

5. Subscription, Payment & Refunds

ScanSewa operates on a subscription-based model ("SaaS"). Fees are determined by the selected service modules, business size, transaction volume, number of users, and the chosen service level agreement.

  • Billing: All subscription fees must be paid in advance for the selected billing period (e.g., monthly, annually). Invoices will be issued electronically.
  • Auto-Renewal: Unless you cancel your subscription prior to the end of the current billing period, your subscription will automatically renew, and you authorize us to collect the then-applicable subscription fee.
  • Refunds: All payments are final and non-refundable. No refunds or credits will be provided for partial use, cancellation midway through a billing period, or for unused periods of a subscription.
  • Payment Failure: In the event of a payment failure, we will notify you and may attempt to re-process the payment. Lacspace Corporation Pvt. Ltd. reserves the right to restrict or suspend access to the Services until all outstanding dues are cleared.
  • Fee Changes: We reserve the right to change our subscription fees at any time. Any fee changes will be communicated to you in advance and will only apply to subsequent billing cycles.

6. Data Ownership & Privacy

All business and customer data, including financial records, customer lists, and inventory data, that you input into the ScanSewa platform ("Client Data") remains the exclusive property of the Client. We do not claim any ownership rights over your Client Data.

However, by using our Services, you grant Lacspace Corporation Pvt. Ltd. a limited, worldwide, royalty-free license to access, store, process, transmit, and analyze Client Data solely for the purposes of: (a) providing and maintaining the Services to you; (b) preventing or addressing service, security, or technical issues; (c) providing customer support; and (d) generating anonymized, aggregated data for system improvement, industry trend analysis, and the development of new features. At no point will your identifiable Client Data be shared with or sold to third parties, except as required by law or as explicitly permitted in our Privacy Policy.

We are committed to protecting your data. We follow Nepal’s Information Technology (IT) Data Protection guidelines and implement robust security measures, including end-to-end encryption, firewalls, secure cloud infrastructure, and regular data backups, to safeguard your information. 7. Booking & Transactions (SSBITE App)

The SSBITE mobile application serves as a technology platform to connect end-users with hospitality providers (our Clients). All hotel bookings, restaurant reservations, or orders placed through SSBITE are subject to the individual merchant’s (hotel's or restaurant's) own policies, including their terms for cancellations, refunds, and service quality.

Lacspace Corporation Pvt. Ltd. provides the technical platform only and is not a party to the transaction between the merchant and the end-user. As such, we are not responsible for, and disclaim all liability arising from, service disputes, cancellations, no-shows, or refund requests. Users and merchants must resolve such issues directly.

All financial transactions are processed through third-party payment gateways. Users must comply with the terms and conditions of these payment partners when processing transactions.

8. Intellectual Property

The names “ScanSewa” and “SSBITE,” the Lacspace logo, and all related graphics, source code, object code, user interface designs, algorithms, and software elements are the exclusive, proprietary assets and trademarks of Lacspace Corporation Pvt. Ltd. Unauthorized use of these assets is strictly forbidden.

No part of the software, its design, or its underlying code may be copied, reverse-engineered, decompiled, distributed, or repurposed without express written authorization from a designated officer of Lacspace Corporation Pvt. Ltd.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LACSPACE CORPORATION PVT. LTD., ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THIS SERVICE.

Specifically, Lacspace Corporation Pvt. Ltd. shall not be held liable for any:

  • Loss of data, revenue, or business opportunities due to system misuse, unauthorized third-party access, or security breaches not caused by our gross negligence.
  • Service interruptions or downtime caused by internet connectivity issues, hosting provider failures, force majeure events, or other factors beyond our reasonable control.
  • Business interruption, indirect damages, or loss of profits arising from reliance on the Services.

Under any circumstances, the total aggregate liability of Lacspace Corporation Pvt. Ltd. for all claims relating to the Services shall not exceed the total amount paid by the Client to Lacspace Corporation Pvt. Ltd. for the subscription period in which the claim arose.

10. Termination

Lacspace Corporation Pvt. Ltd. may suspend or terminate your access to ScanSewa, in whole or in part, without prior notice if:

  • You materially violate these Terms or engage in fraudulent, illegal, or harmful activity.
  • Required subscription payments are not completed within the specified grace period.
  • The system requires urgent maintenance, or we are compelled to do so for legal or regulatory compliance.
  • Your use of the service poses a security risk to the platform or other users.

Upon termination, your license to use the Services will immediately cease. We may, at our discretion, provide a grace period for data export, after which all Client Data may be archived or permanently deleted in accordance with our data retention policies.

11. Updates & Modifications

We reserve the right to update or modify these Terms periodically to reflect changes in our Services, business practices, or legal requirements. Your continued use of the software after any such changes are posted will constitute your acceptance of the revised Terms. We will notify you of material changes by updating the "Last Updated" date on this page or via email. The latest version of these Terms will always be available on our official website: https://scansewa.com.

12. Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of Nepal. The parties irrevocably agree that any disputes arising from this Agreement shall be resolved exclusively under the jurisdiction of the Kathmandu District Court.
