1. Introduction
Welcome to ScanSewa ("Company," "we," "us," "our"), a premier software initiative with all its software products developed and powered by Lacspace. These Legal Terms and Conditions (hereinafter referred to as the "Legal Terms," "Terms," or "Agreement") constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and ScanSewa, concerning your access to and use of our comprehensive and integrated suite of services. These services include, but are not limited to, the website at https://scansewa.com (the "Site"), our associated mobile applications (the "Apps"), our AI-Powered Dashboards, our Point-of-Sale (POS) systems (e.g., pos.scansewa.com), our smart billing solutions (e.g., bill.scansewa.com), task management tools (e.g., taskflow.scansewa.com), and any other software, media forms, channels, or related products and services that refer or link to these Legal Terms (collectively, the "Services").
Our Platform provides a unified, AI-driven solution for complex business operations, in-depth analytics, and enhanced customer interactions across a multitude of industries including, but not limited to, restaurants, retail, shopping malls, hospitals, and educational or corporate institutions. By accessing, downloading, registering for, or otherwise using any part of the Services, you acknowledge that you have carefully read, fully understood, and irrevocably agree to be bound by all of these Legal Terms, as well as our Privacy Policy and Cookie Policy, which are incorporated herein by reference. If you do not agree with all of these legal provisions, you are expressly and immediately prohibited from using the Services and must discontinue your use forthwith.
2. Acceptance of Terms
Your access to and use of the Services is conditioned upon your full and unconditional acceptance of and compliance with these Terms. This acceptance is manifested by any act of using the Services, including browsing the Site, downloading an App, creating an account, or clicking any button or link indicating your agreement (e.g., "I Agree," "Sign Up"). If you are using the Services on behalf of a corporation, partnership, or other legal entity, you represent and warrant that you are an authorized representative of that entity with the full legal authority to bind the entity to these Terms. In such a case, "you" and "your" will refer to that entity. You are responsible for ensuring that all persons who access the Services through your internet connection or account are aware of these Terms and comply with them.
We reserve the exclusive right, in our sole discretion, to make changes, modifications, additions, or deletions to these Legal Terms at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date of these Legal Terms at the top of this page. You hereby waive any right to receive specific, individual notice of each such change. It is your sole responsibility to periodically review these Legal Terms to stay informed of updates. Your continued use of the Services after the date such revised Legal Terms are posted will be deemed as your acceptance of the changes. For significant updates, we may also send a notification to your registered email address or post a prominent notice on our Site.
3. Definitions
For the purposes of this Agreement, the following terms shall have the meanings ascribed to them below:
- User: Any individual who interacts with or uses the ScanSewa customer-facing applications or interfaces. This includes, but is not limited to, actions such as browsing menus or product catalogs, placing orders, making payments, managing a personal profile, booking appointments, or utilizing the "Scan. Pay. Go." feature.
- Vendor/Business: Any commercial or non-commercial entity, including its owners, authorized agents, employees, and representatives, that subscribes to, licenses, or utilizes any of ScanSewa’s business-facing services. This encompasses the use of our AI-Powered POS System, Analytics Dashboard, Smart Billing Software, Task Management System, or any custom-developed solution.
- Platform: The entire ScanSewa technological ecosystem. This includes the Site, all mobile Apps (for both Users and Businesses), software, dashboards, APIs, source code, AI models, and all features, content, and associated services provided by us.
- Scan. Pay. Go.: Our proprietary flagship feature designed to facilitate a seamless, self-service customer experience. This feature enables Users to scan QR codes or product barcodes for actions such as self-service ordering, creating a digital shopping cart, and processing instant, often remote, payments, thereby bypassing traditional checkout or service counters.
- AI Services: All features, modules, algorithms, and functionalities within the Platform that are driven by or utilize artificial intelligence and machine learning. This includes, but is not limited to, predictive analytics, sales forecasting, customer behavior analysis, intelligent upselling suggestions, operational optimization recommendations, and data-driven insights.
4. Eligibility and Account Creation
To be eligible to use our Services, you must be at least 18 years of age, or the age of legal majority in your jurisdiction, and possess the full legal capacity and authority to enter into a binding contract. If you are registering for an account on behalf of a Business, you represent and warrant that you are duly authorized to act on behalf of that entity and to bind it to this Agreement. We may, at our sole discretion, refuse to offer the Services to any person or entity and change our eligibility criteria at any time.
When creating an account, you agree to provide information that is true, accurate, current, and complete. You are obligated to maintain and promptly update your account information to keep it true, accurate, current, and complete. Failure to do so constitutes a breach of these Terms, which may result in immediate termination of your account. You are solely and exclusively responsible for all activities that occur under your account and for maintaining the strict confidentiality of your password, API keys, and other account credentials. You must notify us immediately and in writing at compliance@scansewa.com or hello@scansewa.com of any unauthorized use of your account or any other breach of security. ScanSewa will not be liable for any loss or damage arising from your failure to comply with this section.
5. License to Use ScanSewa
Subject to your strict and ongoing compliance with these Legal Terms, we grant you a limited, non-exclusive, non-sublicensable, non-transferable, and fully revocable license to access and use the Services for your personal or internal business purposes, as intended through the provided functionality and as permitted by this Agreement. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by ScanSewa, in the manner permitted by these Terms.
This license explicitly does not include any right to: (a) resell, lease, or sublicense our Services or any part thereof; (b) use our Platform for any commercial purpose not expressly permitted by your subscription plan; (c) access our Services using any automated means such as bots, scripts, or scrapers, except as expressly permitted by our `robots.txt` file or through our public APIs with our prior written consent; or (d) duplicate, copy, modify, or create derivative works from any part of our intellectual property. All rights not expressly granted to you in this Agreement are reserved by us and our licensors.
6. User Responsibilities
As a User of our customer-facing applications, you agree to use the Services lawfully, ethically, and responsibly. You are solely responsible for any data you provide, such as order details, personal information, or payment information, and you warrant that such data is accurate and that you have the legal right to provide it. You shall not use the Services to harass, defame, defraud, or harm other Users, Vendors, or any third party. You must keep your account credentials secure at all times.
Any attempt to misuse the "Scan. Pay. Go." feature, place fraudulent orders, manipulate QR codes, reverse-engineer any part of the App, or leave a Vendor's premises without a confirmed successful payment for goods or services received will be considered a material breach of these Terms. Such actions will result in immediate and permanent account termination, and we reserve the right to report such activities to the concerned Vendor and to law enforcement authorities, and to pursue legal action to recover any damages incurred.
7. Vendor and Business Obligations
As a Vendor or Business utilizing our Platform, you bear the sole responsibility for maintaining the accuracy, completeness, and timeliness of all data within the platform that is under your control. This includes, but is not limited to, menus, product lists, pricing, inventory counts, tax rates, business hours, and promotional details. You represent and warrant that you will comply with all applicable local, state, provincial, and federal laws and regulations. This includes regulations related to sales, labor, health and safety standards, data privacy concerning your own customers and employees, and consumer protection laws.
You are responsible for all customer-facing aspects of your business, including the quality of your goods and services, fulfillment of orders, and handling of customer service inquiries. You are also liable for all transactions, chargebacks, refunds, and disputes arising from your use of the Services. ScanSewa acts as a technology facilitator and is not a party to the transactions between you and your customers. You agree to provide a fair and reasonable refund and return policy for your customers, in compliance with applicable law. You must address all customer support requests related to your products or services via your own channels, or by contacting us at business@scansewa.com for platform-related issues.
8. Scan. Pay. Go. Feature Usage
The "Scan. Pay. Go." feature is provided as a technological convenience to enhance efficiency and customer experience. As a User, you agree to use this feature in good faith. You will not misuse this feature by, for example, attempting to place fraudulent or unpaid orders, tampering with QR codes, or leaving a Vendor's premises with goods or after consuming services without a digitally confirmed and successful payment. As a Business, you agree to honor all valid transactions made through this feature and to provide the ordered goods or services upon confirmation of a successful payment.
Any payment disputes arising from a "Scan. Pay. Go." transaction should first be addressed directly between the User and the Business. ScanSewa provides the technology to facilitate the transaction but is not a party to the sale itself and holds no inventory. We may, at our discretion, provide transaction data to help resolve disputes, but we are not responsible for mediating or resolving such disputes, nor for issuing refunds on behalf of the Business. Repeated disputes associated with a User or Business account may lead to suspension or termination of access to this feature.
9. Payment Terms
To facilitate payments for subscriptions and transactions, we utilize reputable third-party payment processors (e.g., Stripe, Razorpay). By making or receiving payments through our Services, you agree to be bound by the terms, conditions, and privacy policies of these processors. We are not a bank or a money services business and do not handle or hold funds directly. We are not responsible for any errors, processing delays, fees, or service failures on the part of the payment processor.
All subscription fees for our Services are due as specified at the time of purchase and are billed in advance on a recurring basis (monthly or yearly). These fees are non-refundable except as explicitly stated in our refund policy or as required by applicable law. You are responsible for all applicable taxes, and we will charge tax when required to do so. It is your responsibility to provide a valid payment method and to keep your billing information up to date. 10. Subscription Plans
Our business plans, such as the Business Plan and Pro Business Plan (e.g., at $45/month and $70/month respectively, with all prices subject to change upon notice), are offered on a subscription basis. When you subscribe to a plan, you are committing to the fee for the entire billing term (monthly or yearly). Subscriptions will automatically renew at the end of each billing cycle at the then-current price, unless canceled by you through your account settings or by contacting our support team at least 48 hours prior to the renewal date.
You may cancel your subscription at any time. The cancellation will take effect at the end of your current billing period, and you will continue to have access to the service until then. No refunds or credits will be provided for any partial subscription periods or for unused time within a billing cycle. We reserve the right to change our subscription plans or adjust pricing for our Services or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion. Except as otherwise expressly provided for in these Terms, any price changes or changes to your subscription plan will take effect following notice to you.
11. AI and Analytics Usage
Our AI Services provide insights, forecasts, and suggestions based on the data you provide and aggregated, anonymized data from our Platform. While we employ advanced algorithms and strive for a high degree of accuracy, these outputs are provided for informational and guidance purposes only. They are not guaranteed to be correct, complete, or to produce any specific business outcome. You are solely responsible for the business decisions you make based on these insights.
You retain full ownership of your raw business data. However, by using the Services, you grant ScanSewa a worldwide, non-exclusive, royalty-free, perpetual license to use your business data in an anonymized and aggregated form. This allows us to train our AI models, improve our Services, conduct industry analysis, and develop new features. We will never share your identifiable raw data with any third party except as required by law or as described in our Privacy Policy.
12. Data Privacy and Security
Your privacy and the security of your data are of paramount importance to us. Our comprehensive Privacy Policy, which is an integral part of these Legal Terms, explains in detail how we collect, use, store, protect, and share your personal and business data. We encourage you to review it carefully. We implement industry-standard administrative, technical, and physical security measures designed to protect your information from unauthorized access, disclosure, alteration, and destruction.
However, you acknowledge that no method of transmission over the Internet or method of electronic storage is 100% secure. Therefore, while we strive to use commercially acceptable means to protect your data, we cannot guarantee its absolute security against all threats. We aim to comply with major data protection regulations such as the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA) where applicable, and our Privacy Policy outlines the rights you may have under these regulations. 13. Intellectual Property Rights
All intellectual property rights in and to the Services are the exclusive property of ScanSewa and the technology company, Lacspace (accessible at https://lacspace.com), which developed the software. This includes, but is not limited to, the software, source code, object code, algorithms, AI models, user interface designs, visual interfaces, graphics, branding, logos, trademarks, content, and documentation ("Our IP"). Your use of the Services grants you no right or license to reproduce or otherwise use any of Our IP except as expressly permitted in this Agreement.
You may not, directly or indirectly: copy, modify, distribute, sell, lease, or create derivative works from any part of our Services; nor may you reverse-engineer, decompile, disassemble, or otherwise attempt to extract the source code of any of our software without our express prior written permission. Any unauthorized use of Our IP is a breach of these Terms and may violate copyright, trademark, and other laws.
14. Prohibited Activities
You are strictly prohibited from using the Services for any fraudulent or unlawful purpose or in any way that could harm our Platform, our reputation, or its users. Prohibited activities include, but are not limited to: (a) systematic retrieval of data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us; (b) engaging in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools; (c) interfering with, disrupting, or creating an undue burden on the Services or the networks or services connected to the Services; (d) attempting to bypass any measures of the Services designed to prevent or restrict access to the Services, or any portion of the Services; (e) deciphering, decompiling, disassembling, or reverse engineering any of the software comprising or in any way making up a part of the Services; (f) using the Services to send spam, chain letters, or other unsolicited communications; (g) infringing on the intellectual property rights of ScanSewa or any third party; and (h) uploading or transmitting (or attempting to upload or to transmit) viruses, Trojan horses, or other material that interferes with any party's uninterrupted use and enjoyment of the Services or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Services.
A violation of this section may lead to immediate suspension or termination of your account and may subject you to civil and criminal penalties. We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision.
15. Third-Party Integrations
The Services may integrate with, or contain links to, third-party applications, websites, or services that are not owned or controlled by ScanSewa (e.g., payment gateways, accounting software, cloud providers, social media platforms). Your use of these third-party services is subject to their respective terms and conditions and privacy policies. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services.
If you access a third-party website or service from the Services or share your content on or through any third-party website or service, you do so at your own risk, and you understand that this Agreement and our Privacy Policy do not apply to your use of such sites. We are not responsible for the performance, security, content, or any other aspect of any third-party services, and we expressly disclaim any liability in connection therewith. You expressly relieve ScanSewa from any and all liability arising from your use of any third-party website, service, or content.
16. Service Availability and Downtime
We strive to ensure the Services are available and operational 24 hours a day, 7 days a week. However, we do not guarantee that the Services will be uninterrupted, timely, secure, or error-free. We may perform scheduled maintenance, upgrades, or emergency repairs, which may result in temporary interruptions. We are not liable for any downtime, suspension, or discontinuance of the Services caused by factors beyond our reasonable control, including but not limited to network failures, hardware failures, acts of God, force majeure events, or actions of third parties such as our hosting providers.
We will endeavor to provide reasonable advance notice of any planned maintenance that is expected to result in significant downtime, where feasible. You acknowledge that access to the Services may be limited or unavailable during times of high demand, server maintenance, or for other reasons, and you agree that ScanSewa has no liability for any damages or loss caused by such interruptions.
17. Customer Support and Communication
We provide customer support through various channels as outlined on our contact page or as specified in your subscription plan. Support may include email, in-app messaging, or phone support. Response times and the level of support provided may vary based on your subscription plan and the nature of the inquiry. We are committed to providing helpful and timely support but do not guarantee immediate responses or that all issues will be resolved.
By using the Services and providing us with your contact information (such as an email address or phone number), you consent to receive electronic communications from us. These communications may include notices about your account (e.g., payment authorizations, password changes, and other transactional information), as well as updates about our services, new features, and promotional offers. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You may opt out of promotional communications by following the unsubscribe instructions in the communication or by contacting us at hello@scansewa.com.
18. Liability Limitations
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SCANSEWA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. THIS LIMITATION OF LIABILITY APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF SCANSEWA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
THIS INCLUDES, WITHOUT LIMITATION, DAMAGES RESULTING FROM: (A) YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (C) ANY CONTENT OBTAINED FROM THE SERVICES; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL SCANSEWA'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNTS PAID BY YOU TO SCANSEWA IN THE LAST SIX (6) MONTHS FOR THE SERVICES IN QUESTION.
19. Indemnification
You agree to defend, indemnify, and hold harmless ScanSewa, Lacspace, their affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services, including any data or content transmitted or received by you; (ii) your violation of any term of these Legal Terms, including without limitation your breach of any of the representations and warranties above; (iii) your violation of any third-party right, including without limitation any right of privacy, publicity rights, or Intellectual Property Rights; (iv) your violation of any applicable law, rule, or regulation; or (v) any claim that your data or any content you provided caused damage to a third party. This indemnification obligation will survive the termination of this Agreement and your use of the Services.
20. Termination of Services
We reserve the right, without prior notice and in our sole discretion, to suspend or terminate your access to the Services at any time, for any reason or for no reason. This includes, without limitation, if you breach these Legal Terms, fail to pay subscription fees, or engage in any conduct that we deem harmful to our platform or other users. Upon termination, your right to use the Services will immediately cease, and we may, at our discretion, delete your account and all associated data.
If you wish to terminate your account, you may do so by discontinuing your use of the Services or by contacting us to request the deletion of your account. All provisions of these Legal Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
21. Modifications to Services or Terms
We are constantly changing and improving our Services. We reserve the right to modify, add, or discontinue features or the Services (or any part thereof) temporarily or permanently, with or without notice to you. You agree that we will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.
We also reserve the right to modify these Legal Terms at any time. If we make a material change to these Terms, we will provide you with notice, such as by sending an email, posting a notice on our Site, or updating the "Last Updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the new Legal Terms. If you do not agree to the modified terms, you should discontinue your use of the Services.
22. Dispute Resolution
In the event of any dispute, claim, question, or disagreement arising from or relating to this Agreement or the breach thereof, the parties shall use their best efforts to settle the dispute through informal negotiations. To this end, they shall consult and negotiate with each other in good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both parties. If the dispute cannot be resolved through informal negotiations within sixty (60) days, it shall be submitted to binding arbitration in accordance with the rules of a recognized arbitration body agreed upon by both parties. The arbitration shall take place in Nagpur, India, unless otherwise mutually agreed. The language of the arbitration shall be English. You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law, (1) no arbitration or proceeding shall be joined with any other; (2) there is no right or authority for any dispute to be arbitrated or resolved on a class-action-basis or to utilize class action procedures; and (3) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
23. Force Majeure
We shall not be liable for any failure to perform our obligations hereunder where such failure results from any cause beyond our reasonable control. Such causes include, without limitation, mechanical, electronic or communications failure or degradation, natural disasters (e.g., fires, floods, earthquakes, storms), acts of war or terrorism, civil disturbances, labor disputes, pandemics, governmental actions, or sophisticated cyber-attacks that could not have been prevented by reasonable security measures. The party experiencing the force majeure event shall give notice to the other party and shall use commercially reasonable efforts to resume performance.
24. Governing Law
These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement will be brought exclusively in the state and federal courts located in Nagpur, Maharashtra, India, and the Parties hereby irrevocably consent to the personal jurisdiction and venue therein. The parties agree that the UN Convention on Contracts for the International Sale of Goods will not apply to this Agreement.
25. Feedback and Suggestions
We welcome and encourage you to provide feedback, comments, ideas, improvements, or suggestions (collectively, "Suggestions") regarding ScanSewa or the Services. You may submit Suggestions by emailing us at hello@scansewa.com, using our contact form, or through other communication channels like our suggestion portal at wishlist.scansewa.com. You acknowledge and agree that any Suggestions you provide are entirely voluntary and will not create any confidentiality obligation for us.
Furthermore, you agree that we will be free to use, disclose, reproduce, license, distribute, and otherwise exploit such Suggestions as we see fit, entirely without any obligation, royalty, or other compensation to you. We will own exclusive rights, including all intellectual property rights, to any such Suggestions you provide, and we shall be entitled to the unrestricted use and dissemination of these Suggestions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.
26. Code of Conduct
All users, vendors, and businesses are expected to interact with our Services and with each other in a professional and respectful manner. You agree not to use the Services to transmit or share any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable. Hate speech, discrimination, and any form of harassment will not be tolerated and will result in immediate account termination.
Businesses must represent their products and services accurately and honestly. Deceptive practices, such as false advertising or misleading pricing, are strictly prohibited. Users must not engage in fraudulent activities, including but not limited to, fraudulent chargebacks or creating fake accounts. We reserve the right to monitor interactions on the platform and to remove any content or suspend any account that violates this Code of Conduct.
